bpv JÁDI NÉMETH Attorneys at Law is delighted to share that Dr Péter Garancsi has been appointed to Office Leading Partner. Besides his management duties, Péter remains the practice leader of the corporate / M&A as well as banking & finance areas at the firm. Furthermore, Dr Attila M. Kovács has been promoted to Partner, primarily responsible for regulatory matters. 

Thanks to the appointment of Dr Péter Garancsi bpv JÁDI NÉMETH is able to handle its expanded clientele more effectively by improving the allocation of associate tasks and by enhancing direct client relationship. Péter gained comprehensive experience in negotiating transactions and heading practitioner teams in various legal fields. Péter joined bpv JÁDI NÉMETH seven years ago and in the past three years he has been leading the corporate and M&A as well as the banking & finance practice areas as partner. He regularly lectures and publishes on legal topics both in Hungarian and in English. 

Dr Attila M. Kovács, an acclaimed expert in regulated industries joined our firm two years ago as senior associate. He has broad domestic and international experience primarily focusing on energy law and administrative law matters and takes an active role in supporting corporate transactions regarding regulatory issues as well as drafting and negotiating commercial contracts and IT related agreements. In addition, he is advising clients in telecommunications law, as well as in administrative issues in the field of pharmaceutical industry and also, he has an extensive expertise in general commercial litigation and arbitration.

bpv JÁDI NÉMETH advised FLE GmbH in buying Office Garden I

bpv JÁDI NÉMETH has acted as sole legal counsel of the purchaser in a recently closed major Hungarian real estate deal; the acquisition of Office Garden I, a category A office building in Budapest's 11th district. 

Our firm carried out the pre-acquisition due diligence and provided complex advisory for the buyer FLE GmbH during the whole course of the purchase of this high quality real estate. The team was led by Dr Marc-Tell Madl, LL.M. MBA and consisted of Dr Attila M. Kovács, partner who mainly worked on the financing aspects of the deal as well as Dr Balázs Kovács, senior associate, whose real estate sector specific knowledge also secured the outstanding professional care and diligence in this matter.

FLE GmbH (part of the LFPI Group) is headquartered in Vienna, Austria and received full administrative and professional support of the German native speaker colleagues at bpv JÁDI NÉMETH.

Dr Márton Horányi was a speaker at a competition law conference

Dr Márton Horányi, Head of Competition Practice Group at bpv JÁDI NÉMETH gave a presentation together with the president of the Hungarian Competition Office about the recent changes of SMP regulations at the Competition Law Conference organized by the Hungarian Legal Forum (Jogi Fórum). In his presentation Márton covered the following topics: presumption of market dominance applicable to large food retailers in Hungary; communication between suppliers and retailers; hub & spoke cases; developments in the regulation of e-commerce. 

 

Legal Breakfast Series on Succession Planning

Inheritance and Succession were the two key topics of the private Business Breakfast series organized by bpv JÁDI NÉMETH in late 2015 in Budapest. Márton is highly experienced and internationally recognized in competition law. Márton has 10 years of experience in the field of competition law. Prior to joining bpv JÁDI NÉMETH, he worked at the Budapest and Düsseldorf offices of a major international law firm (Baker & McKenzie). Previously, he also worked at the Legal Service of the European Commission in Brussels and gained experience as a researcher in academics at the Europa-Institut in Saarbrücken, Germany. Márton studied law in Budapest, Strasbourg, Saarbrücken and at the King’s College, London.

Márton specializes on Hungarian and EU competition law and has vast experience in representing major Hungarian and multi-national companies in cartel, abuse of dominance and merger cases before the Hungarian Competition Office, the European Commission and the Hungarian and EU Courts. He has special expertise in particular in the pharmaceutical, retail, energy, IT/telecom and automotive industries. Márton lectured at the post-graduate competition programme of the Pázmány Péter University, and regularly publishes at reputable competition law journals.

Stakeholders from German leading industries contribute significantly to the development of our national economic development. This favorable evolution is not only due to the country’s high standard education system, central location, strategic and innovative mindset but also to certain areas of the domestic legislation. But how can we move forward? This was the main question we aimed to answer with the help of highly esteemed members of the panel discussion: Ágnes Fábián, Managing Director and President at Henkel HungaryJavier González Pareja,General Manager at Robert Bosch Kft.; Gergely Prőhle, Deputy State Secretary for International and EU Affairs of the Ministry of Human Capacities and Peter Inzenhofer, Vice-President at German-Hungarian Chamber of Industry and Commerce; Managing Director at Hirschmann Car Communication

The members of the panel discussion agreed that Hungary offers a great potential for German companies to develop regional centers around their core competences and many factors improved during the recent years, however it is important to see that these companies contributed to this development significantly and huge part of the positive trends were generated by themselves.

Although everyone welcomes the positive tendency, there is a consensus among the key stakeholders that there is room for improvement in terms of the implementation of new regulations. The representatives of the companies agreed that they would need not only more time in order to prepare themselves for changing regulations but they would also require more consultation with the government.

Overall, based on the discussion, we can expect that leading German companies will further invest in Hungary and will recommend the country as business destination but in order to be able to make the leap from good to great there Hungary needs to take further steps towards legal stability and predictability.

About Dr. Marc-Tell Madl

Marc-Tell studied Law and Political Sciences in Germany and the United Kingdom. He holds a Ph.D. in International Economic Law as well as an LL.M. in Banking and Finance from the University of London and earned an MBA (Banking) from SOAS. 

Prior to joining bpv JÁDI NÉMETH, Marc-Tell worked for major international law firms in Germany, Hungary and the U.S. Between 1999-2003 he acted as the managing partner of the Budapest office of a leading German legal, tax and audit firm. After being at Reti, Antall & Madl LANDWELL for five years, in 2008 Marc-Tell took over leadership of PwC’s legal team in Ukraine and in 2011 in Bratislava. Now a Board Member, for many years Marc-Tell served as the President of the German Hungarian Legal Society. 

Dr. Marc-Tell Madl is fluent in English, German and Hungarian.

Document templates integrated in the online legal database provide business people with support by broadening professional legal materials. Thanks to the cooperation of bpv JÁDI NÉMETH and Opten, updated and reliable labour law document templates are now available for the economic organizations.

In our constantly changing legal environment there is a great need for reliable, accurate and up-to-date legal databases. To ensure their availability, Opten and bpv JÁDI NÉMETH is jointly working on updating legal documents of the document template module of OptiJUS online legal database.

In their cooperation the following are combined: decades of experience gained in innovative solutions supporting decision making processes of economic organisations and reliable professional expertise lying behind premium legal services.

Through the Magic Lamp Wish Fulfilling Foundation bpv JÁDI NÉMETH helped to fulfill the wish of the 8-year-old Krisztian. Krisztian is a second grade, cute, cheerful, talkative, direct boy. He wished for a laptop to surf the web, to draw, to play a lot and many more. Her mother added that she is confident that the laptop will be a great help in learning as well. Krisztian received the laptop with surprise, but then with a huge smile on his face he grabbed it and could not wait to turn it on.

The mission of the Magic Lamp Wish Fulfilling Foundation is to grant a wish to any 3-18-year-old child who suffers from a life-threatening illness and whose family normally cannot afford to fulfil this wish.

Our law firm has been recognized among the best legal professionals where Euromoney LMG acknowledged our initiatives for innovation. The partner of our law firm attended as a committed volunteer the 'Board Simulation' meeting put on stage by the Governance and Transparency Committee of the American Chamber of Commerce in Hungary (AmCham) at the Faculy of Law at the ELTE University on April 29

Board Simulation is a role play case presentation of a fictional stock exchange listed board meeting where six or more G&T Committee members of AmCham demonstrate the business implications of corporate governance issues. Students watch a typical board meeting enacted to illustrate through a case study real-life business issues, challenges and potential resolutions. Sensitive issues and difficult decisions are discussed.

The simulation was originally created as a proposed teaching tool for local universities and upon its success several univeristies integrated the program into their curriculums.

On the occasion of the traditional Vienna Lawyers Ball (Juristenball) 2014 in the festival halls of the former Austrian Emperors Palace Hofburg, bpv Hügel Rechtsanwälte held the yearly law symposium, the 17th Wiener Juristengespräche in Vienna. This year, the symposium was dedicated to the up-to-date topic "Secrecy and Privacy Protection".

The various presentations, lectures and interviews included the latest developments with regard to the disclosure and protection of information in antitrust proceedings, new approaches of the EU for the protection of know-how, obligations of telecommunications providers in terms of retention and confidentiality challenges in international internal investigations.

Afterwards, interesting panel discussions were moderated between experts and practitioners about confidentiality obligations in capital markets and M&A transactions, as well as other confidentiality issues in various industries, in particular banks and media enterprises.

The attorney-at-law of bpv JÁDI NÉMETH, Dr Éva Fülöp, highlighted the specifics in Hungary on the topics 'Capital markets disclosure requirements and confidentiality obligations – a contradiction?' and on 'Secrecy issues in M&A transactions, Disclosure Requirements versus Confidentiality Obligations in the Due Diligence Phase of M&A Transactions'.

We could share and exchage our experiences and gain further techniques during a professional legal competences seminar wit the President of the American Chamber of Commerce in Hungary, Mr. William Benkő and the Momentan Group. During the afternoons we had cheerful moments together at the major sightseeing points of Budapest at our Budapest City Adventure program and at a dragon boat competition in the Lágymányos Bay.

Executives' Labour Law Guide - Interactive e-learning package

For the first time in Hungary, bpv JÁDI NÉMETH Attorneys at Law, an international law firm providing premium legal services developed jointly with Innotica Group an interactive online electronic learning package called ‘Executives’ Labour Law Guide. 

It is the first time in Hungary that an international law firm presents a comprehensive, interactive electronic learning material. The new Hungarian Labour Code has entered into force slightly more than two months ago and there has not been yet any similar online learning tools on the market, which would have delivered the essential knowledge on the basic legal terms and conditions of employment quickly and efficiently to the Employers.

The electronic learning programme, called Executives’ Labour Law Guide developed with Innotica Group offers training in an understandable manner with the application of multimedia presentation tools for junior, senior and top level executives alike. The learning package which consists of three training modules processes the new Labour Code through interactive exercises, practical questions and business case studies that enable the users to almost unconsciously acquire an active and deep legal knowledge within a short time.

bpv LEGAL Summer Outing at the Danube Delta in Romania

In the summer of 2011, the team of bpv LEGAL spent its annual holiday and celebrate their 5 years anniversary in the south of Danube Delta, Romania which is forming part of the World Heritage areas.

On June 23, Thursday, shortly after arrival, we visited the Village Museum (Muzuel Satului) in Bucharest. This outdoor museum includes more than 300 buildings representing the history of Romania’s rural architecture. On June 24, Friday, after our long adventure-journey, we arrived at Uzlina across Muringhiol. On June 25, Saturday, during the cruise on Saint George Arm, in the southeast Danube branch into the delta which is 112 km in length, we had opportunity of seeing picturesque landscape and indigenous birds. As a nice finish of the outing, the members of our alliance celebrated with a farewell dinner where we closed our team building with cake decorating competition.

As of September, the real estate group of the firm is managed by dr. Ágnes Tigelmann, partner. Ágnes is responsible for the professional management of team and leads the German Desk. For over a decade, she gained experience at Nagy és Trócsányi Attorney at Law and at the Hungarian associate firm of Nörr Stiefenhofer Lutz and Hengeler Mueller in the field of real estate, as well as corporate, commercial and labour law.
 
As of October, dr. Péter Garancsi, senior lawyer, manages the practice group of corporate law at the firm and takes significant part in supporting English speaking clients. bpv LEGAL Summer Outing in Austria

In the summer of 2010, the team of bpv LEGAL spent its annual holiday in Grundlsee – a beautiful jewel of Austria.

On June 24, Thursday, shortly after the arrival, the professional seminars started. On the first day the actual challenges of corporate law and energy law were in focus, on Friday morning, the lawyers of bpv LEGAL participated on a presentation held by Dr. Cătălin Grigorescu and Dr. Florian Gibitz about the nature & recommended structure of legal opinion.

After the seminar, the team set off for the first excursion. The 3-Seen-Tour is a boat trip, discovering Grundlsee, Toplitzsee and Kammersee – the three beautiful lakes of the area. A delicious dinner in the restaurant of the hotel felt good after the long but exciting day.

Next morning, the city of Hallstatt was our destination. The little baroque town consists of a single main street. The three winged gothic altar of the local church is famous all over the world. A slightly weird sight of the town is the cemetery, where bones used to be exhumed and removed into an ossuary in every ten years. A collection of skulls decorated with flowers and the former owners’ name is on display.

Arriving back to the hotel, the participants could challenge their ability on various team building programs. First of all, the teams had to assemble soap boxes, with which they could participate in a three round car race. As a nice termination of the outing, the members of our alliance celebrated their successes with a farewell dinner.

Competition Law Seminar in Prague

Practical Law Competition Seminar

Compliance with competition law is higher than ever on the risk management agenda for companies in all sectors. The penalties for breaching competition law are severe and constantly on the increase and might amount up to 10% of global turnover of firms, while in certain jurisdictions criminal prosecution is an additional threat. In 2007, the European Commission alone imposed cartel penalties in excess of EUR 3.5 billion. The law is complex and fast-changing, as the EU and national competition authorities continue to refine and focus their approach to competition enforcement.

Mergers & Acquisitions in a changing environment
